1. Agreement to Terms

Welcome to GetMeme! These Terms of Service ("Terms") constitute a legally binding agreement between you and NovaRising Limited ("Company," "we," "us," or "our"), a company registered in England and Wales under company number 16245996, with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

By accessing or using GetMeme at getmeme.net (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affects your rights. Please read Section 16 carefully.

2. Description of Service

GetMeme is an AI-powered meme generation platform that allows users to:

• Generate memes using artificial intelligence (Google Gemini AI)
• Upload images for AI-enhanced meme creation
• Customize meme text and styles
• Download and share generated memes
• Access meme templates and suggestions

The Service is provided on a freemium basis with optional paid plans for additional features and credits.

3. Eligibility

You must meet the following requirements to use the Service:

• Be at least 13 years old (or 16 in the European Economic Area)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by:

• Signing in with Google OAuth
• Using email magic link authentication

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your email address is current and accessible

4.3 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Abuse the Service or other users
• Remain inactive for an extended period

5. Credits and Pricing

5.1 Free Tier

• New users receive 1 free meme generation
• Additional generations require purchased credits

5.2 Paid Plans

We offer the following pricing tiers:

• Starter Pack: €1.49 for 10 meme credits (one-time purchase)
• Pro Pack: €5.99 for 50 meme credits (one-time purchase)
• Premium Monthly: €19.99/month for 200 meme credits (subscription)

5.3 Credit Usage

• Each meme generation consumes 1 credit
• Credits do not expire for one-time purchases
• Monthly subscription credits reset each billing cycle
• Unused monthly credits do not roll over
• Credits are non-transferable and non-refundable

5.4 Price Changes

We reserve the right to modify pricing at any time. Price changes will not affect existing subscriptions until renewal. We will provide 30 days' notice of price increases for subscriptions.

6. Payment Terms

6.1 Payment Processing

• All payments are processed securely through Stripe
• We accept major credit and debit cards
• We do not store your payment information
• All prices are in Euros (EUR) unless otherwise stated

6.2 Subscriptions

• Subscriptions automatically renew monthly
• You will be charged on the same day each month
• You can cancel anytime before the next billing cycle
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months

6.3 Taxes

Prices do not include applicable taxes (VAT, sales tax, etc.). You are responsible for all taxes associated with your purchase.

6.4 Failed Payments

If a payment fails, we will attempt to charge your payment method again. Continued payment failures may result in service suspension.

7. Refund Policy

7.1 General Policy

Due to the digital nature of our Service, all sales are final. We do not offer refunds except as required by law or in the following circumstances:

• Technical issues preventing Service access for more than 48 hours
• Duplicate charges due to processing errors
• Unauthorized charges (subject to verification)

7.2 EU/UK Consumer Rights

If you are located in the EU or UK, you have a 14-day right of withdrawal for purchases. However, by using credits immediately after purchase, you expressly waive this right.

7.3 Refund Requests

To request a refund, contact us at [email protected]within 14 days of purchase with your order details.

8. Acceptable Use Policy

8.1 Prohibited Content

You may not create, upload, or share content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory
• Infringes intellectual property rights of others
• Contains nudity, pornography, or sexually explicit material
• Promotes violence, terrorism, or hate speech
• Contains malware, viruses, or harmful code
• Violates privacy rights or contains personal information without consent
• Is spam, advertising, or commercial solicitation
• Impersonates any person or entity
• Contains false or misleading information

8.2 Prohibited Activities

You may not:

• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) without permission
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Circumvent usage limits or payment systems
• Resell or redistribute the Service
• Use the Service for competitive analysis
• Violate any applicable laws or regulations

8.3 Enforcement

We reserve the right to remove content and suspend accounts that violate this policy. Serious violations may be reported to law enforcement.

9. Intellectual Property Rights

9.1 Our Rights

The Service, including all content, features, functionality, software, and design, is owned by NovaRising Limited and protected by copyright, trademark, and other intellectual property laws.

"GetMeme" and our logo are trademarks of NovaRising Limited. You may not use our trademarks without prior written permission.

9.2 Your Content

You retain ownership of:

• Images you upload
• Text prompts you create
• Memes you generate

9.3 License to Us

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store and process your content to provide the Service
• Display your shared memes publicly (if you choose to share)
• Use anonymized data to improve our AI models
• Create derivative works for Service improvement

9.4 AI-Generated Content

Memes generated by our AI are created based on your prompts and inputs. While you own the output, you acknowledge that:

• AI-generated content may not be eligible for copyright protection in all jurisdictions
• Similar prompts may produce similar results for different users
• You are responsible for ensuring your use of generated content complies with applicable laws

9.5 Third-Party Content

You are responsible for ensuring you have the right to upload and use any images or content. Do not upload copyrighted material without permission.

10. AI and Data Processing

10.1 AI Technology

Our Service uses Google's Gemini AI and other artificial intelligence technologies. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• Results may vary and are not guaranteed
• AI models are continuously updated and improved
• Your inputs are processed by third-party AI providers (Google, OpenRouter)

10.2 Data Processing

By using the Service, you consent to the processing of your data as described in our Privacy Policy, including:

• Storage in Cloudflare's infrastructure (D1, R2, KV)
• Processing by Google Gemini AI
• Payment processing by Stripe
• Email delivery by Resend
• Analytics by Google Analytics (if enabled)

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

11.2 No Guarantees

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results will be accurate, reliable, or meet your expectations
• Defects will be corrected
• The Service will be available at all times

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVARISING LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to your account or data
• Errors, mistakes, or inaccuracies in content
• Personal injury or property damage
• Any third-party content or conduct

11.4 Liability Cap

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11.5 Consumer Rights

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless NovaRising Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct
• Your breach of applicable laws

13. Third-Party Services

The Service integrates with third-party services including:

• Cloudflare (hosting, CDN, database, storage)
• Google (OAuth, Gemini AI, Analytics)
• Stripe (payment processing)
• Resend (email delivery)
• OpenRouter (AI model routing)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

14. Modifications to Service and Terms

14.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable for any modification, suspension, or discontinuation.

14.2 Terms Changes

We may update these Terms at any time. Material changes will be notified via:

• Email to your registered address
• Notice on the Service
• Update to the "Last Updated" date

Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

15. Termination

15.1 By You

15.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the Service
• Fail to pay fees

Upon termination:

• Unused credits are forfeited
• We may delete your account and content after 90 days
• Provisions that should survive termination will remain in effect

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

16.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from these Terms or the Service.

16.3 Informal Resolution

Before filing a claim, you agree to contact us at [email protected]to attempt to resolve the dispute informally.

16.4 EU/UK Consumer Rights

If you are a consumer in the EU or UK, you may also have the right to use alternative dispute resolution procedures and to bring proceedings in your country of residence.

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
